Introduction:
 
Welcome to De Lima Ventures Group, LLC. By accessing our website, you agree to comply with the following terms and conditions.

If you do not agree with any of the terms, please refrain from either using our website or becoming an OPTIMUM Elite Club member.
 
1. Membership:
 
a. Eligibility: Membership is open to individuals who meet the eligibility criteria set forth by OPTIMUM Elite Club.
 
b. Registration Process: To become a member, you must be invited by a current member, and complete the registration process as outlined on our website.
 
c. Membership Types and Fees:
 
- CENTURION: Annual membership fee of US$5,000.00
 
- PREMIUM: Annual membership fee of US$100.00
 
d. Rights and Privileges: Members are entitled to the benefits and privileges associated with their respective membership types, as specified by OPTIMUM Elite Club.
 
2. Social Media Images Authorization:
 
a. Use of Member's Social Media Images: By becoming a member, you authorize OPTIMUM Elite Club to use your social media images, and or any images taken during and OPTIMUM Elite Club events for advertising and promotional purposes related to the club.
 
b. Consent: Your membership signifies your consent for OPTIMUM Elite Club to utilize your images in accordance with this authorization.
 
c. Exclusivity and Limitations: OPTIMUM Elite Club shall have exclusive rights to use your social media images for advertising and promotions, subject to any limitations or restrictions you specify in writing.
 
3. Non-Disclosure Agreement (NDA):
 
a. Privacy Protection: OPTIMUM Elite Club respects the privacy of its members.
We have implemented measures to safeguard the confidentiality of your personal information.
 
b. Confidentiality Obligations: Members are required to maintain the confidentiality of any sensitive information shared by OPTIMUM Elite Club or fellow members.
 
c. Non-Disclosure of Sensitive Information: Members shall not disclose any confidential or proprietary information obtained through their membership without the explicit written consent of OPTIMUM Elite Club.
 
d. Exceptions: This NDA does not prohibit the disclosure of information that is already in the public domain or becomes publicly available through lawful means.
 
4. Events and Discounts:
 
a. CENTURION Member Benefits:
 
- CENTURION members are eligible for event discounts of up to 50%.
 
b. PREMIUM Member Benefits:
 
- Description of any applicable event discounts or benefits for PREMIUM members.
 
c. Terms and Conditions: The availability and terms of event discounts are subject to the discretion of OPTIMUM Elite Club and may vary for each event.
 
d. Event Cancellations and Refunds: OPTIMUM Elite Club reserves the right to cancel or reschedule events. In such cases, members will be notified, and appropriate measures will be taken to provide refunds or alternative arrangements, as determined by OPTIMUM ELite Club.
 
5. Termination of Membership:
 
a. Grounds for Termination: OPTIMUM Elite Club reserves the right to terminate a member's membership in the event of their involvement in any illegal activities, whether within the Club or outside in their personal and professional lives. This includes but is not limited to activities that violate local, national, or international laws, regulations, or ethical standards.
 
b. Termination Process and Notifications: If a member's membership is terminated due to illegal activities, OPTIMUM Elite Club will follow a fair and impartial process. The member will be notified of the termination and provided with an opportunity to present their case, if feasible and appropriate.
 
c. Refund Policies: In the event of termination for illegal activities, NO refunds or reimbursements will be provided for any remaining membership fees.
 
6. Charitable Contribution:
 
a. Commitment to Philanthropy: OPTIMUM Elite Club is committed to supporting charitable causes and making a positive impact. As part of our commitment, for every new member that joins OPTIMUM Elite Club, we will donate a 20% of it to a reputable organization in alliance with our values focused on health conditions and/or climate change awareness.
 
b. Donation Process: OPTIMUM Elite Club will make the necessary arrangements to ensure that the donation is facilitated in a timely manner, following the onboarding of each new member.
 
c. Transparency and Accountability: OPTIMUM Elite Club will provide regular updates to its members regarding the progress and impact of the donations made to these organizations, demonstrating transparency and accountability. However, members acknowledge that OPTIMUM Elite Club has the sole discretion to select the specific manner in which the donations are made and the frequency of such donations.
 
7. Limitation of Liability:
 
a. Disclaimer of Warranties: Neither De Lima Ventures Group, LLC nor OPTIMUM Elite Club make no warranties or representations, expressed or implied, regarding the website, club membership, events, or any services provided. Members acknowledge that their participation in club activities is at their own risk.
 
b. Limitation of Liability: In no event shall OPTIMUM Elite Club or its affiliates be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or in connection with the use of the website, club membership, events, or any services provided, including but not limited to any errors or omissions in content or information.
 
c. Indemnification: Members agree to indemnify and hold OPTIMUM Elite Club, its directors, officers, employees, and agents harmless from any claims, demands, losses, liabilities, costs, or expenses (including legal fees) arising out of or in connection with their membership, participation in events, or breach of these terms and conditions.
 
8. Intellectual Property Rights:
 
a. Ownership: All intellectual property rights, including but not limited to trademarks, logos, designs, and content, associated with De Lima Ventures Group, LLC and OPTIMUM Elite Club are the sole property of De Lima Ventures Group, LLC. and its licensors.
 
b. Restrictions: Members are prohibited from using, reproducing, distributing, or modifying any intellectual property owned by OPTIMUM Elite Club without obtaining prior written consent. Any unauthorized use of the intellectual property may result in legal action.
 
9. Governing Law and Jurisdiction:
